TERMS
Terms of Service
Last updated: 5 October 2026
These terms are a contract between you and Ariam Labs, Inc. Please read them. They say what you may do with Obelus, what we owe you, what we do not promise, and how disagreements are settled.
If you are agreeing to these terms for a company or another organisation, you are telling us that you have the authority to bind it, and "you" means that organisation.
1. The agreement
1.1 Who we are. Obelus is made by Ariam Labs, Inc., a Tennessee corporation. Our mailing address is 4935 Main St Ste 7-154, Spring Hill, TN 37174, United States. You can reach us at legal@ariamlabs.com.
1.2 What you are agreeing to. These terms, the Privacy Policy, and any additional terms we present to you for a specific feature or plan together form your agreement with us. If an additional term conflicts with these terms, the additional term governs for that feature or plan only.
1.3 How you accept. You accept these terms by ticking the box we show you when you first sign in to Obelus. Until you do, Obelus will not run. If you do not accept them, sign out and do not use Obelus. Obelus records which version of these terms you accepted and when.
1.4 Who may use Obelus. You must be at least 18 years old, or the age of legal majority where you live if that is higher, and you must not be barred from using Obelus under section 25. Obelus is a professional tool. It is not offered to children and we do not knowingly provide it to anyone under 18.
2. Words we use
Obelus means the Obelus desktop application, its updates, and the services we run for it, including sign in, model downloads, cloud runs and usage metering.
Your Work means the projects, files, media, prompts and settings you create, import or supply, and everything Obelus produces from them for you.
A Run means one execution of a node in Obelus. A run is either local, meaning it happens entirely on your own computer, or cloud, meaning we send what the node needs to a third party that performs the computation.
A Provider means a third party that performs a cloud run or supplies a model.
A Plan means one of the subscription plans we offer for Obelus. A Seat means one person's right to use Obelus under a plan.
Allowance means the amount of cloud work included in a plan in a given period.
The Merchant of Record means the company that sells you the plan, takes your payment, charges any tax, and issues your receipt. That company is Stripe, unless the checkout names a different company, in which case it is the company named there.
3. Your licence
3.1 What we grant. While your plan is current, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use Obelus on computers you own or control, for one person per seat, for your own purposes, including commercial ones.
3.2 One seat is one person. A seat may not be shared. Two people may not use one seat, whether at the same time or in turn. Under a Studio plan the seats belong to the organisation that bought them and may be reassigned inside it, but each seat is still one person at a time.
3.3 What we do not grant. We license Obelus. We do not sell it. Every right we do not expressly grant is reserved.
3.4 Updates. We may release updates, and Obelus may install them. An update may add, change or remove features. We do not promise that a feature will exist forever.
4. The continuity licence
A year of paying earns you a copy you keep. The rest of this section is the detail.
4.1 What it is. If you pay for twelve consecutive months on a plan, you keep a permanent licence to the version of Obelus that was current when that twelve month period began, at the feature level of the plan you paid for, even after your subscription ends. You may keep using that version for as long as it runs on your computer. Section 4.7 says what you still need in order to run it.
4.2 What it covers. The continuity licence covers the features of Obelus that run on your own computer. It does not cover cloud runs, model downloads, updates, new features, or support, all of which need a current subscription.
4.3 How the version advances. Your continuity licence moves forward one step at the end of each completed paid year, to the version that was current at the start of that year. It does not advance during a year.
4.4 If you stop and start again. If your subscription lapses, you keep the version you have already earned. Starting again begins a fresh twelve month period at the then current price and earns the then current version.
4.5 Studio seats. A continuity licence earned on a Studio plan belongs to the organisation, not to the individual, and may be reassigned inside the organisation.
4.6 What still applies. Sections 12 to 28 of these terms continue to apply to your use of a version held under a continuity licence.
4.7 You still need an account. Obelus checks that you are signed in before it runs anything, including work that runs entirely on your own computer. A continuity licence keeps your right to use the version you earned. It does not remove the sign in check. We will keep your account open and able to sign in for as long as you hold a continuity licence, and we will not close it for non payment of a subscription you have already cancelled. If we ever stop running the sign in service, we will give you a way to keep using the version you earned without it.
4.8 When it does not survive. A month that was refunded or charged back does not count towards the twelve. If we terminate your plan because you broke these terms, your continuity licence ends with it, and you must stop using the version you held and remove it from your computers.
5. Your account
5.1 Sign in. Obelus requires an account. Sign in is handled for us by our identity provider. You are responsible for keeping your credentials safe and for everything done through your account.
5.2 Accuracy. Give us a real email address and keep it current. We use it for notices under these terms, including notices of changes.
5.3 Telling us about a problem. If you believe someone else is using your account, tell us at support@ariamlabs.com.
6. Plans, payment and tax
6.1 There is no free tier. Obelus is a paid product. Access requires a current plan.
6.2 Who you buy from. Your plan is sold to you by the Merchant of Record named at checkout. That company is the seller for the transaction. It takes your payment, charges and remits any sales tax, VAT or GST, issues your invoice, and handles billing disputes and chargebacks. Its own purchase terms apply to the sale alongside these terms. Our terms govern your use of Obelus.
6.3 Prices. The price of each plan, in each billing form, is shown at the point of purchase. Prices may change. A change to your price takes effect at your next renewal. We or the Merchant of Record will tell you by email between seven and thirty days before it does, so that you can cancel first if you would rather.
6.4 Billing period and renewal. Plans are sold monthly or yearly and renew automatically at the end of each period at the then current price, until you cancel. You may cancel online at any time, through the billing link in Obelus or the one in your receipt. Cancelling stops the next renewal. It does not shorten the period you have already paid for.
6.5 Tax. Prices are exclusive of tax unless the checkout says otherwise. Any tax due on the sale is collected by the Merchant of Record.
6.6 Failed payment. If a payment fails, we may suspend cloud features and, after a reasonable period, the account. Sections 4 and 12 are not affected by a suspension.
6.7 Reminders. If your plan renews yearly, we or the Merchant of Record will email you before each renewal to tell you that it is coming, what it will cost, and how to cancel. You can cancel online, in the same way you bought, at any time, without talking to anybody.
6.8 If you buy for an organisation. These terms are the whole of what we agree with your organisation unless we have both signed something else in writing.
7. Your allowance and additional usage
7.1 What is included. Each plan includes an allowance of cloud work in each billing period. Local runs are not metered and never count against your allowance.
7.2 What a run costs. Different cloud runs consume different amounts of your allowance. Obelus shows you what you have used and what remains.
7.3 Running out. When your allowance is spent, cloud runs stop until the next period, until you buy additional usage, or until you move to a plan with a larger allowance. Local work continues unaffected.
7.4 Additional usage. You may buy additional usage from inside Obelus. Additional usage is sold by the Merchant of Record on the same basis as a plan and is consumed after the included allowance. Unless the checkout says otherwise, additional usage does not expire while your plan is current, and unused allowance does not roll over from one period to the next.
7.5 Your own provider key. Where Obelus supports it, you may connect your own account with a provider. Runs made with your key are billed to you by that provider under your agreement with them, are not metered against your allowance, and are not our responsibility. You are responsible for keeping that key safe and for anything done with it.
7.6 Fair use. Allowances are for use by the person holding the seat. Automated or bulk consumption of an allowance, resale of allowance, or sharing an allowance across people is a breach of section 9.
8. Cancelling and refunds
8.1 Cancelling. You may cancel at any time. Cancellation takes effect at the end of the period you have paid for. We do not pro rate an unused part of a period unless the law where you live requires it.
8.2 Refunds. Payments are not refundable, except where the law requires a refund or where we agree to one. Any refund is issued by the Merchant of Record. To ask for one, write to support@ariamlabs.com. Nothing in this section takes away a right the law of the country you live in gives you.
8.3 If you are a consumer in the EEA or the UK. You have fourteen days to change your mind about a purchase made at a distance. For digital content that is downloaded rather than delivered on a disc, that right ends once supply has begun, but only if you expressly agreed at checkout that supply should begin straight away and acknowledged that you were giving up the right. If the checkout did not ask you that, your fourteen day right stands in full and you may cancel for any reason and be refunded.
8.4 If we end your plan. If we terminate your plan for a reason other than your breach of these terms, we will ask the Merchant of Record to refund the unused part of the period you have paid for.
9. What you may not do
You may not, and may not permit anyone else to:
- Use Obelus for anything unlawful, or to make or distribute content that is unlawful where you are or where it is received.
- Make sexual content involving minors, content that sexualises a real person without their consent, or content whose purpose is to harass, defraud, impersonate or threaten a real person.
- Circumvent, disable or interfere with any licensing, metering, allowance, entitlement or security mechanism in Obelus, or use a build we did not publish.
- Reverse engineer, decompile or disassemble Obelus, or try to derive its source code, except where the law where you live gives you a right to do so that a contract cannot take away, in which case you may do what that law allows. If you need information to make your own software work with Obelus, ask us at support@ariamlabs.com first.
- Rent, lease, lend, resell, sublicense, host or provide Obelus, an account, a seat, an allowance, or a model file, as a service to anybody else.
- Remove, alter or obscure a notice of ownership or a licence notice we or a provider applied, or remove a content credential or provenance mark where the provider that made it requires it to stay.
- Use Obelus to build, train, evaluate or improve a competing product or model.
- Probe, scan or attack our systems, exceed a published rate limit, or take more from the service than your plan allows.
- Try to get around a refusal, a filter or a block that we or a provider applied to a run.
We may investigate a suspected breach and may suspend access while we do.
10. Your work is yours
10.1 Ownership. You own Your Work. We claim no ownership of it.
10.1a The permission we need. To run Obelus for you, you give us a limited, non-exclusive, worldwide, royalty free licence to store, copy, transmit and process Your Work, and to pass it to a provider, but only so far as is needed to do the thing you asked Obelus to do and to meet our legal duties. We do not use it for anything else.
10.1b What you are telling us. When you send something to a cloud run, you are telling us that you hold the rights you need to do so, including any rights in a person's face, voice or performance, and that doing so does not break the law or somebody else's agreement.
10.2 Where it lives. Obelus keeps your projects, your media and its own caches on your computer. What reaches us or a provider is what a cloud run or a question to the Art Director needs, and what you send us yourself. The Privacy Policy says what we keep.
10.3 We do not train on your work. We do not use Your Work to train, fine tune or evaluate any model, and we do not sell it or share it for anyone else's marketing. We do not control what a provider does with what a run sends it.
10.4 Backups are yours. Keep your own backups. We do not keep a copy of Your Work that we can restore for you.
10.5 Counts and totals. We may use and publish counts and totals of how Obelus is used, such as how many runs a model had or how much of an allowance a plan uses in a month, as long as they do not identify you or reveal Your Work. They are not Your Work and nothing in this section stops us using them.
11. Runs that happen in the cloud
11.1 What happens. Some nodes cannot run on your computer. When you run one, Obelus sends what that node needs, which may include your prompt, an image, an audio file or a video clip, to the provider that performs the run, through our servers. The result comes back to your computer. The run is counted against your allowance.
11.2 Local runs keep your work at home. A node that runs on your computer does not send your work to us or to a provider.
11.3 Providers have their own rules. Each provider sets its own rules about what may be sent to it and what may be made. A provider may refuse a run. We may refuse, stop or remove a cloud run, or suspend cloud runs on your account, where a provider's rules or a provider's request require it.
11.4 Availability. A provider can change its models, its prices, its terms or its availability, or can stop serving us. When that happens we may change or remove the affected node.
11.5 No promise about what comes back. Generated content is produced by a statistical model. It may be wrong, may be unoriginal, may resemble another person's work, and may not be fit for any particular purpose. Two people giving the same instruction may receive the same result. We do not warrant the accuracy, originality, non infringement or fitness of anything a model produces.
11.6 You are responsible for what you publish. Before you use generated content in something that goes out into the world, it is your job to check it, to hold whatever rights and releases you need, and to make any disclosure the law requires of you. In several places, including the European Union, a person who publishes synthetic image, audio or video content that depicts a real person or a real event must say that it was artificially generated. Meeting that obligation is yours, not ours.
11.7 The Art Director. The Art Director is a cloud feature. Asking it a question sends your message, the conversation so far, and information from your open project to the model supplier that runs it, and counts against your allowance. The Privacy Policy says more.
12. Models you download
12.1 What you get. Obelus downloads model files from our storage host so that they can run on your computer. Each model comes from a third party under that party's own licence, which we make available to you.
12.2 What the licence covers. You may use a downloaded model inside Obelus, for your own work, including commercial work, to the extent the model's own licence allows. You may not redistribute the files, extract them for use outside Obelus, or use them in a way the model's licence forbids.
12.3 After your plan ends. Models already downloaded to your computer continue to work with a version you hold under section 4, subject to the model's own licence. New downloads need a current subscription.
13. Marks that providers leave
Some providers mark what they generate. A mark may be a content credential written into the file, an invisible pattern in the pixels, the audio or the text, or a visible mark. A mark can identify the model or the provider that made the content, and some marks survive editing, re export and the removal of metadata. Where a provider requires its mark to remain, section 9 forbids removing it.
14. Our intellectual property
Obelus, its name, its interface, its documentation and everything in it apart from Your Work and third party materials are owned by us or our licensors, and are protected by copyright, trademark and other laws. Nothing in these terms transfers any of it to you. You may not use our names or logos without our written permission, except to say truthfully that you use Obelus.
Obelus includes open source components. Their licences are listed in the application under Settings, and they govern those components rather than these terms.
15. Feedback
If you send us an idea, a suggestion, a bug report or any other feedback, you give us a non-exclusive, perpetual, worldwide, irrevocable, royalty free licence to use it for any purpose, without any obligation to you. You keep everything you had in it. Do not send us anything you are not free to give us or that you expect to be paid for or kept secret.
16. Third party services
Obelus can connect to services other people run, including providers, your own provider accounts where Obelus supports them, and the Merchant of Record's checkout and billing pages. Those services are not ours. Your use of them is governed by their terms and their privacy practices, and we are not responsible for them.
17. Pre-release features
We sometimes make a feature available before it is finished and label it as such. A pre-release feature is provided as it is, may change or disappear without notice, may fail, and is excluded from any warranty and from any commitment about availability. If we ask you to agree to separate terms for a pre-release programme, those terms govern your participation in it.
18. Availability and support
We aim to keep the parts of Obelus that we run available. Support requests go to support@ariamlabs.com. We do not promise uninterrupted service. We may take the service down for maintenance, and we may change it.
19. Changes to these terms
We may change these terms. When we do, we will post the new version with a new "last updated" date, and we will tell account holders by email or in the application if the change materially affects your rights or your use of Obelus. Continuing to use Obelus after a change takes effect means you accept it. If a change is material we may require you to accept the new terms before Obelus will run again. If you do not accept, you may stop using Obelus and ask us to cancel your plan, and section 8.4 applies.
A change to these terms does not apply to a dispute either of us had already told the other about before the change took effect. If we change section 26, you have thirty days from the notice to opt out of sections 26.3 and 26.5 in the way section 26.6 describes, whether or not you opted out before.
20. Term, suspension and termination
20.1 Term. These terms apply from the moment you accept them until your account is closed and any version you hold under section 4 is no longer in use.
20.2 Your right to end it. You may stop using Obelus and close your account at any time.
20.3 Our right to suspend or end it. We may suspend or terminate your access, in whole or in part, if you breach these terms, if we are required to by law, if payment fails, or if your use puts our systems, our providers or another person at risk.
20.4 What survives. Sections 2, 4, 6 as to amounts already owed, 9, 10, 11.5, 11.6, 12, 13, 14, 15, and 21 to 28 survive termination.
20.5 What happens to your things. Your Work is on your computer and stays there. Closing your account does not delete it. See the Privacy Policy for what we do with the records we hold about your account.
21. Disclaimer of warranties
OBELUS IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, ARIAM LABS AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED AND STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON INFRINGEMENT. WE DO NOT WARRANT THAT OBELUS WILL BE UNINTERRUPTED, ERROR FREE OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY CONTENT PRODUCED BY A MODEL WILL BE ACCURATE, ORIGINAL, LAWFUL OR FIT FOR YOUR PURPOSE.
Some places do not allow some of these exclusions. Where that is so, this section applies to the greatest extent that place allows, and nothing here removes a right you have under the law of the country you live in as a consumer.
22. Limitation of liability
22.1 What neither of us is liable for. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST GOODWILL OR LOST OR CORRUPTED DATA, EVEN IF TOLD THAT THEY WERE POSSIBLE.
22.2 The cap. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR TO OBELUS IS LIMITED TO THE GREATER OF ONE HUNDRED UNITED STATES DOLLARS AND THE AMOUNT YOU PAID FOR OBELUS IN THE TWELVE MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.
22.3 What the cap does not cover. Nothing in these terms limits either party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, for your obligations under section 23, for your breach of section 9, for either party's infringement of the other's intellectual property, or for anything else that the law does not allow to be limited.
22.4 Why the limits are here. The prices we charge reflect this allocation of risk. These limits apply even if a limited remedy fails of its essential purpose.
22.5 Consumers. If you are a consumer, nothing in this section reduces the rights the law of your country gives you.
23. Your indemnity
If you use Obelus for business purposes, you will defend us against, and pay any damages, costs and reasonable legal fees finally awarded in, any third party claim arising out of Your Work, your use of Obelus, your breach of section 9, or your breach of a model's licence terms. We will tell you promptly about the claim, give you control of the defence, and help you at your expense. You may not settle in a way that admits fault on our part or imposes an obligation on us without our consent.
This section does not apply to you if you use Obelus purely as a consumer.
24. Confidentiality of non public materials
If we give you access to something we have not released publicly, and we tell you it is confidential, keep it confidential, use it only for the purpose we gave it to you for, and protect it as you would your own confidential information. This obligation lasts for three years from the day you receive it, or until we make the material public.
This does not cover anything that is already public without your fault, that you already had, that you work out for yourself without using what we gave you, or that somebody else gives you lawfully. If you are legally required to disclose it, tell us first if you are allowed to, and disclose only what you must.
25. Export control and sanctions
Obelus and the technology in it are subject to United States export control and sanctions laws. You may not use, export or re export Obelus in breach of them. You tell us, by using Obelus, that you are not located in, ordinarily resident in, or organised under the laws of a country or territory that is the subject of a comprehensive United States embargo, that you are not on a United States government list of restricted or denied parties, and that you are not acting for anybody who is. If that stops being true, you must stop using Obelus and tell us.
26. Governing law and where disputes are heard
26.1 Governing law. These terms and any dispute arising out of them are governed by the laws of the State of Tennessee, United States, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
26.2 Talk to us first. Before either of us starts a formal proceeding, we agree to try to resolve the dispute informally. Send a written description of the dispute and what you want to legal@ariamlabs.com, or we will send one to the address on your account, and give the other side sixty days to respond. This does not apply to a claim in small claims court or to a request for an injunction.
26.3 Arbitration. If we cannot resolve it, any dispute arising out of or relating to these terms or to Obelus will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules if you are a consumer, or its Commercial Arbitration Rules if you are not. The arbitration will take place in Nashville, Tennessee, or, if you are a consumer, in the county where you live or by video or on the papers, at your choice. The arbitrator's decision may be entered as a judgment in any court with jurisdiction. This arbitration agreement is governed by the Federal Arbitration Act. Any question about whether a dispute must be arbitrated, including whether this section is enforceable, is for the arbitrator to decide, except that a court decides whether section 26.5 is enforceable.
26.4 Small claims and injunctions. Either of us may bring an individual claim in small claims court instead, and either of us may ask a court for an injunction to stop misuse of intellectual property or a breach of section 9 or section 24.
26.5 Individual claims only. TO THE FULLEST EXTENT PERMITTED BY LAW, CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING. If this paragraph is held unenforceable, section 26.3 does not apply to the claim in question and that claim goes to the courts named in section 26.7.
26.6 You can opt out. You may opt out of sections 26.3 and 26.5 by emailing legal@ariamlabs.com within thirty days of first accepting these terms, with your name and the email address on your account, saying that you opt out of arbitration. Opting out costs you nothing and changes nothing else. If you opt out, disputes go to the courts named in section 26.7.
26.7 Courts. For any dispute that is not arbitrated, the state and federal courts sitting in Davidson County, Tennessee, have exclusive jurisdiction, and each of us consents to that jurisdiction and waives any objection to it.
26.8 Jury trial. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH OF US WAIVES ANY RIGHT TO A TRIAL BY JURY.
26.9 Time limit. Any claim must be brought within one year after it arises, to the extent the law allows a contract to say so.
27. If you live in the European Economic Area, the United Kingdom or Switzerland
If you live in one of those places and use Obelus as a consumer, the following applies to you and prevails over anything in these terms that conflicts with it.
- Sections 26.3, 26.5, 26.7 and 26.8 do not apply to you as a consumer. You may bring proceedings in the courts of the country where you live, and we will bring any proceedings against you there.
- Choosing Tennessee law does not take away the protection of any rule of the law of the country where you live that cannot be varied by agreement.
- You have the statutory rights that the law of your country gives you when digital content or a digital service does not conform to the contract, including the right to have it put right, to a price reduction, or to end the contract. Sections 21 and 22 do not limit those rights.
- If you have a complaint, write to us at legal@ariamlabs.com.
28. General
28.1 The whole agreement. These terms, with the Privacy Policy and any additional terms, are the whole agreement between us about Obelus, and replace anything said before.
28.2 No waiver. If we do not enforce a term, that is not a waiver of it.
28.3 Severability. If a term is held unenforceable, it is narrowed to the extent needed to make it enforceable, or removed, and the rest stays in force.
28.4 Assignment. You may not assign these terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
28.5 Nothing beyond this. These terms create no partnership, agency, employment or joint venture, and give no rights to anybody who is not a party to them.
28.6 Force majeure. Neither of us is liable for a failure caused by something outside our reasonable control.
28.7 Notices. We will send notices to the email address on your account or show them in the application. Send notices to us at legal@ariamlabs.com, and, if a signature is required, to Ariam Labs, Inc., 4935 Main St Ste 7-154, Spring Hill, TN 37174, United States. For formal service of legal process, use our registered agent, whose address is on file with the Tennessee Secretary of State.
28.8 Language. These terms are written in English. If we provide a translation, the English version governs.
